Terms of Service

These terms are the agreement between FuelHawk LLC ("FuelHawk", "we", "us") and the person or company using the FuelHawk service ("you"). Read them before you sign up, because they decide who is responsible for what, and they include a limitation of liability and a dispute-resolution clause that affect your legal rights.

1. Agreement to these terms

By creating an account, clicking to accept, or using the service, you agree to these terms. If you are accepting on behalf of a company, you confirm you have authority to bind it, and "you" means that company. If you do not agree, do not use the service.

If we have signed a separate written agreement or order form with you, that document controls wherever it conflicts with these terms.

2. What FuelHawk provides

FuelHawk is a software service that analyses fuel prices at truck stops along a route and produces recommended fuelling stops and purchase quantities, together with reporting tools. FuelHawk is an information and planning tool. We do not sell fuel, we do not dispatch loads, and we are not a motor carrier, broker or freight forwarder.

3. Eligibility and accounts

  • You must be at least 18 and able to enter a binding contract.
  • The information you give us at signup must be accurate and kept current.
  • You are responsible for everything that happens under your account, including actions by your drivers, dispatchers and administrators.
  • Keep credentials confidential and tell us promptly at contact@fuelhawk.io if you suspect unauthorised access.
  • Accounts are for your organisation. Do not share logins outside it or resell access.

4. Subscriptions and billing

Subscriptions are charged per power unit per month at the rates on our pricing page or your order form. Unless stated otherwise:

  • Fees are billed in advance on a recurring basis and renew automatically for the same period until cancelled.
  • You can cancel at any time before the next renewal date from your account settings or by writing to contact@fuelhawk.io. Cancellation takes effect at the end of the current billing period.
  • Fees already paid are non-refundable except where the law requires otherwise or we say so in writing.
  • If you add trucks mid-period, the added units are prorated.
  • Fees exclude taxes, which you are responsible for except taxes on our income.

5. Trials and pilots

We may offer a free trial or pilot. Trials are provided as-is, may be modified or ended at any time, and convert to a paid subscription only if you choose to continue. Data from an expired trial may be deleted after 30 days.

6. Your data

You keep ownership of the fleet, route, vehicle and transaction data you or your connected providers put into FuelHawk ("Customer Data"). You grant us a non-exclusive licence to host, process and transmit Customer Data for the purpose of operating and supporting the service.

We may also use Customer Data in aggregated or de-identified form to improve routing and pricing models and to publish general benchmarks. Aggregated output will never identify you, your drivers or your rates. Our handling of personal information is described in the Privacy Policy, which forms part of these terms.

You are responsible for having the right to send us the data you send, including any notice or consent your drivers are owed under employment or privacy law.

7. Acceptable use

You agree not to:

  • Reverse engineer, decompile or attempt to derive the source code or pricing models behind the service.
  • Scrape, bulk-export or resell fuel price data obtained through FuelHawk, or use it to build a competing product.
  • Interfere with the service, probe it for vulnerabilities without written permission, or exceed documented rate limits.
  • Upload malware, or content that is unlawful or infringes someone else's rights.
  • Misrepresent your fleet size or otherwise evade per-unit pricing.
  • Use the service in breach of transport, sanctions, export or privacy law.

8. Driver responsibility and safe operation

FuelHawk recommendations are advisory. The driver and the motor carrier remain solely responsible for the safe and lawful operation of the vehicle, including route legality, bridge and weight restrictions, hazardous material routing, hours-of-service compliance, rest breaks, and the decision to enter or leave any facility.

Never operate a device while driving. Drivers should review fuel plans while safely parked. Nothing in the service should be treated as instruction to violate a traffic law, a company safety policy or a federal or state regulation, and no recommendation overrides a driver's own judgement about conditions on the road.

9. Fuel prices and savings

Fuel prices come from third-party data feeds, network partners and your own records. Prices change constantly and can be wrong or out of date at the moment of purchase. We do not guarantee that any price shown will be the price charged at the pump, that a stop will be open or have fuel available, or that a particular price will be honoured.

Savings figures shown on our website or in the product are estimates based on historical results across other fleets. They are not a promise of a result. Your savings depend on your lanes, networks, contracts and how closely plans are followed.

10. Third-party services

The service integrates with telematics platforms, ELD providers, fuel card issuers and truck stop networks. Those services are governed by their own terms, and we are not responsible for their availability, accuracy or acts. If a third party changes or withdraws an integration, we may have to modify or discontinue the related feature.

11. Intellectual property

FuelHawk and its licensors own the service, its software, models, interfaces, documentation, and the FuelHawk name and marks. These terms grant you a limited, non-exclusive, non-transferable right to use the service during your subscription, and nothing more. If you send us feedback or suggestions, we may use them without obligation to you.

12. Confidentiality

Each side may receive confidential information from the other, including your fuel rates and our non-public pricing and technology. Each side agrees to protect it with at least reasonable care, use it only for this agreement, and not disclose it except to people who need it and are bound to keep it confidential. This does not cover information that is public, independently developed, or required to be disclosed by law after reasonable notice.

13. Disclaimer of warranties

The service is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, title, non-infringement, and any warranty arising from course of dealing or trade usage. We do not warrant that the service will be uninterrupted, error free, or that plans, prices or savings estimates will be accurate or complete.

14. Limitation of liability

To the fullest extent permitted by law, neither party, nor their respective affiliates, licensors, service providers, employees, agents, officers or directors, will be liable for damages of any kind, under any legal theory, arising out of or in connection with these terms, the service, the platform, any platforms linked to it, any content on the platform or such other platforms, or any services or items obtained through the platform or such other platforms. This includes direct, indirect, special, incidental, consequential or punitive damages, including but not limited to loss of revenue, loss of profits, loss of business or anticipated savings, loss of use, loss of goodwill, or loss of data, whether caused by tort (including negligence), breach of contract or otherwise, even if foreseeable.

The foregoing does not affect any liability which cannot be excluded or limited under applicable law, and does not apply to either party's indemnity obligations or to your payment obligations.

15. Indemnification

You will defend and indemnify FuelHawk against claims, damages and reasonable costs arising from your use of the service, your Customer Data, your breach of these terms or applicable law, or the operation of your vehicles. We will defend and indemnify you against third-party claims that the service, used as permitted, infringes a US patent, copyright or trademark.

16. Suspension and termination

You may stop using the service at any time. We may suspend or terminate access if you materially breach these terms and do not fix it within 15 days of notice, if payment is overdue, if we are required to by law, or if your use threatens the security or integrity of the service.

On termination, your right to use the service ends. You can export your Customer Data for 30 days after termination, after which we may delete it. Sections that by their nature should survive — including data, IP, confidentiality, disclaimers, liability limits, indemnity and governing law — survive termination.

17. Changes to the service and these terms

We improve the service continuously and may add, change or remove features. We will not materially reduce core functionality during a paid term without notice. We may update these terms; if a change is material, we will give at least 30 days notice by email or in-product before it takes effect. Continuing to use the service after that means you accept the new terms.

18. Governing law and disputes

These terms are governed by the laws of the State of Wyoming, without regard to its conflict of laws rules. The parties will first try in good faith to resolve any dispute informally by writing to contact@fuelhawk.io and allowing 30 days to work it out.

19. General

  • These terms, the Privacy Policy and any order form are the entire agreement between us and replace earlier discussions.
  • If a provision is unenforceable, the rest stays in force.
  • Failing to enforce a provision is not a waiver of it.
  • You may not assign these terms without our written consent. We may assign them to a successor in a merger or sale.
  • Neither party is liable for delays caused by events beyond reasonable control.
  • Nothing here creates a partnership, agency or employment relationship.
  • Notices to you go to the email on your account. Notices to us go to contact@fuelhawk.io.
